These Terms of Service apply to all wholesale and trade orders placed by customers within the United Kingdom through the Rapscallion Soda Trade Portal or directly with Rapscallion Soda Ltd. By placing an order, the customer agrees to be bound by these terms. International orders are subject to separate International Trade Terms.
1. Minimum Orders

For orders shipped via our courier DPD, the minimum order is 4 cases (48 cans). Each case contains 12 x 250ml cans.

Orders must be placed in multiples of 4 cases, for example 4, 8, 12 or 16.

Mixed cases are not available for Trade customers. Each case contains a single flavour only.

The minimum order quantity for pallet orders is 52 cases. Pallets are configured as either 20 cases per layer (up to 200 cases) or 26 cases per layer (up to 260 cases).
2. Pricing and Volume Discounts

Core Range sodas are priced at £1.30 ex VAT per can (£15.60 per case).

Seasonal Range sodas are priced from £1.50 ex VAT per can (£18.00 per case). Pricing may vary depending on harvest conditions.

Volume discounts apply to pallet orders of 52 cases and above. Discounts are available for quarter pallet, half pallet and full pallet volumes.

Distributors may be eligible for tailored pricing agreements by prior arrangement with Rapscallion Soda.
3. Payment Terms
-
All new Trade accounts operate on a pro forma basis, payment before dispatch.

Accepted payment methods: credit card, debit card, Apple Pay, Google Pay and bank transfer. These are immediate settlement methods.

Requests for 30 day payment terms may be submitted via the Trade Portal sign up form or by email to orders@rapscallionsoda.com and are subject to approval by the Managing Director.

Where credit terms are approved, payment is due 30 days from the date of dispatch (Net 30). The dispatch date is defined as the date the goods leave the Rapscallion Soda warehouse or are collected by the appointed courier or haulier.

The payment due date may also be shown on the invoice for reference. The absence of a due date on the invoice does not alter the agreed payment terms.

Any delay in issuing an invoice, or failure of automated invoicing systems, does not affect the payment due date or the obligation to pay within agreed terms. Customers are responsible for ensuring they have received invoices and must request copies where required.

Rapscallion Soda reserves the right to suspend, delay or refuse fulfilment of any order where an account is overdue or operating outside agreed payment terms. We also reserve the right to revoke credit terms, suspend deliveries, withdraw credit facilities, or require payment in advance if invoices are not settled within the agreed payment terms.

Rapscallion Soda reserves the right to set, review, amend or withdraw credit limits at any time. Where a credit limit is in place, orders may be withheld until the account balance is brought within the agreed limit.

Where invoices remain unpaid beyond the agreed payment terms, Rapscallion Soda reserves the right to apply statutory late payment interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

These terms apply to all current and future orders placed on the account. Continued trading following notification of updated terms constitutes acceptance of these terms.
4. Delivery
-
Orders placed before 12:00 midday are typically dispatched the same working day. Orders placed after this time may be dispatched on the following working day.

During busy periods, seasonal peaks, or high order volumes, same day dispatch cannot be guaranteed. Customers are encouraged to order in advance to avoid delays.

Orders under 52 cases are shipped via DPD on a next working day service for UK Mainland, Monday to Friday.

Deliveries to Northern Ireland, the Scottish Highlands and Islands, and other non-mainland locations may take 48 hours to 5 working days, depending on the delivery postcode and courier routing.

Orders of 52 cases and above are shipped on pallets via Burns Express or another approved haulier. Pallet deliveries are kerbside only, Monday to Friday.

Customers are responsible for providing accurate and complete delivery information via their DPD account preferences, including full address details, contact details, safe place or neighbour preferences, and where possible property photographs and what3words locations.

Rapscallion Soda covers the cost of one redelivery attempt if the first delivery is missed. If both the initial delivery and the redelivery attempt are missed, further delivery charges may be passed on to the customer.

Rapscallion Soda will not charge the customer where the fault lies with the courier.

Delivery dates are estimates only. Rapscallion Soda shall not be liable for delays caused by courier services, hauliers, or circumstances outside of our reasonable control, including but not limited to transport delays, weather disruption, or operational issues.

Risk in the goods passes to the customer upon delivery.
5. Delivery Charges

Standard delivery is free across the UK mainland.
-
A £5 surcharge applies for deliveries to Northern Ireland, Scottish Highlands and Islands, and other offshore locations.

Certain Scottish Highlands postcodes are classified by DPD as outside of the UK mainland and may also incur a £5 surcharge. Customers should check the DPD postcode guide before placing an order: DPD postcode guide.
6. Pre-Sale Stock

Products may be placed on pre-sale when launching a new Seasonal soda or when a Core Range soda is temporarily out of stock.

Orders containing pre-sale stock will be held until the full order is ready for dispatch.

Dispatch times for pre-sale stock are stated on the relevant product listing and may change if production is delayed due to ingredient availability.

Pre-sale stock is allocated on a first come, first served basis.
7. Shelf Life
-
Core Range sodas have a shelf life of 13 months from the production date.
-
Seasonal Range sodas have a shelf life of 12 months from the production date.
-
All sodas display a Best Before End (BBE) date. For example, a product with a BBE of November 2026 may be sold and consumed until 30 November 2026.
-
Seasonal sodas are produced once a year. Available shelf life may therefore be shorter if stock is purchased several months after production.
8. Raw Ingredient Guarantee
-
Rapscallion Soda operates a 100% Raw Ingredient Guarantee.
-
No artificial ingredients, concentrates or shortcuts are used.
-
All products are made with fresh fruit, raw ingredients and British water, processed by hand at our Glasgow production site.
9. Returns and Refunds
-
Due to hygiene and food safety, Rapscallion Soda does not accept returns of unwanted or surplus stock once it has left our warehouse. Opened or partially consumed products cannot be returned.

Customers must inspect goods at the point of delivery. If a parcel shows signs of damage, delivery should be refused.

If damage or a fault is discovered after delivery, Rapscallion Soda must be notified within 48 hours of receipt. Customers must provide their order number and clear photographs of the cans, packaging and parcel.

Product faults discovered later must be reported within 7 days of delivery with proof of the issue.

All returns must be agreed in advance with Rapscallion Soda.

Where the error is ours, damaged, faulty or incorrect items, Rapscallion Soda will cover the cost of return or replacement. If the return is requested for any other reason, the customer may be responsible for the associated costs.
10. Late Payment Fees

Rapscallion Soda reserves the right to charge interest and compensation on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Where payment is not received by the invoice due date, the invoice shall be deemed overdue.

Statutory interest of 8% above the Bank of England base rate may be applied and may accrue on a daily basis from the day following the due date until payment is received in full.

Fixed compensation for recovery costs may also be applied as follows:

£40 for debts up to £999.99
-
£70 for debts between £1,000 and £9,999.99
-
£100 for debts over £10,000
-
Rapscallion Soda may also claim additional reasonable recovery costs where these exceed the fixed compensation amounts.

Rapscallion Soda reserves the right to suspend further deliveries or withdraw credit terms where invoices remain unpaid beyond the agreed payment terms.
11. Online Sales Restrictions

Trade customers are strictly prohibited from selling Rapscallion Soda online without formal written permission from Rapscallion Soda Ltd.

The sale of Rapscallion Soda on third party online marketplaces including, but not limited to, Amazon and eBay is expressly forbidden.

Any customer wishing to sell Rapscallion Soda through their own website or online store must obtain prior written approval by contacting orders@rapscallionsoda.com or calling 07388 335104.

Unauthorised online sales will result in immediate termination of the Trade account, withdrawal of supply, and may lead to further legal action being taken.
12. Recommended Retail Price (RRP)

Rapscallion Soda provides a recommended retail price of £3.00 to £5.00 per 250ml can.

This range is suggested to maintain consistency across the market and to reflect the value of our handmade sodas.

While stockists are free to set their own retail prices, Rapscallion Soda encourages customers to remain within this range to protect the brand and customer expectations.
13. Eligibility

The Rapscallion Soda Trade Portal is intended for wholesale customers including cafés, bars, restaurants, retail stockists and distributors.

The Trade Portal is not intended for one off or individual consumer purchases.

International customers should contact Rapscallion Soda directly to discuss availability and supply options. International orders are subject to our International Trade Terms.
14. Governing Law

These Terms of Service shall be governed by and interpreted in accordance with the laws of Scotland and the United Kingdom.
